1. Definitions

• “Services”: AI chatbot creation, integration, training on client data, maintenance, analytics dashboards, and related support.

• “Client Data”: Any files, text, documents, or information the client provides for chatbot training or usage.

• “Setup Fee”: One-time payment for chatbot creation and integration.

• “Subscription Fee”: Monthly payment for continued access and maintenance of the chatbot.

• “End Users”: Visitors or customers who interact with the client’s chatbot on their website.

2. Eligibility

To use our Services, you must:

• Be at least 18 years old

• Provide accurate and complete information

• Use the Services only for lawful business purposes

3. Services We Provide

We offer:

• Custom AI chatbot development (RAG-based)

• Training on the client’s website data or uploaded data

• Integration into the client’s website

• Custom UI matching the client’s brand

• Hosting and maintenance

• Real-time analytics dashboard (for applicable plans)

• Ongoing updates and support during the subscription period

We may improve, update, or modify features at any time.

4. Client Data Ownership

• You own all rights to the data you provide.

• We do not sell, share, or provide your data to any third party except service providers needed to operate the Services.

• We only use your data to:

  • Train the chatbot

  • Improve accuracy

  • Provide analytics

  • Maintain system performance

You are responsible for ensuring you have the rights to use the data you upload.

5. Data Usage & Storage

• We store vector embeddings and processed versions of your data to enable accurate chatbot responses.

• We may temporarily log conversations for debugging and performance improvements.

• We take reasonable security measures but cannot guarantee 100% security.

• You must not upload illegal, copyrighted, or harmful data.

6. Payment Terms

Setup Fees

• Basic Plan: $499 (one-time)

• Advance Plan: $799 (one-time)

• Enterprise Plan: $2499 (one-time)
  These prices may vary based on customization.

Subscription Fees

• Basic Plan: $49/month

• Advance Plan: $99/month

• Subscription begins after the free trial month (if applicable).

• Subscriptions renew automatically each month.

Refunds

• Setup Fees are generally non-refundable, as the majority of work is performed upfront.

• Monthly subscription fees are non-refundable, even if you stop using the chatbot before the billing cycle ends.

7. Cancellations & Termination

Client Cancellations

• You may cancel your subscription at any time through written request.

• Service will remain active until the end of the current billing cycle.

We May Terminate If:

• You fail to make payments

• You upload illegal or unauthorized content

• You abuse, misuse, or reverse-engineer our Services

• You violate any part of these Terms

Once the subscription ends, the chatbot and all related services will be deactivated.

8. Client Responsibilities

You agree that:

• You are responsible for the legality and accuracy of your data

• You will not use the chatbot for harmful, abusive, or illegal content

• You will ensure your end users understand the chatbot is AI-based

• You will comply with any local laws regarding data collection

9. Usage Restrictions

You may not:

• Copy, distribute, or resell our platform or code

• Use the chatbot for medical, legal, or financial advice

• Attempt to bypass billing systems

• Interfere with our servers or security

• Use the chatbot in high-risk environments (e.g., emergencies, critical instructions)

10. AI Limitations

You understand and agree that:

• AI responses may be incomplete, incorrect, or unexpected

• We are not responsible for business decisions made from chatbot responses

• The chatbot should not replace professional advice

• End users should be informed that responses are AI-generated

11. Intellectual Property

• All software, UI, prompts, code, dashboards, training pipelines, and systems belong to Inipy.

• You receive a non-exclusive, revocable license to use the chatbot during your subscription.

• You may not modify or reproduce any part of our technology.

12. Third-Party Services

Our Services may integrate with third-party platforms (e.g., hosting, analytics, LLM APIs, payment processors).
We are not responsible for:

• Downtime or errors caused by these providers

• Their privacy practices

• Their terms or policies

You agree to comply with their terms if your usage depends on them.

13. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages

• We are not responsible for lost profits, data loss, or business interruption

• Our total liability will not exceed the amount you paid us in the past 1 month

14. Indemnification

You agree to defend and indemnify Inipy against any claims arising from:

• The data you provide

• Your misuse of the Services

• Legal violations arising from your content

• Actions of your end users

15. Changes to Terms

We may update these Terms from time to time.
We will notify you of significant changes.
Continued use of the Services means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.
Any disputes will be handled in the courts of India (or appropriate jurisdiction).
